These Terms of Service (“Terms”) govern your access to and use of stalderandreid.com, including our online store, website content, customer accounts, products, communications, and related services.
Throughout these Terms, “Stalder & Reid,” “we,” “us,” and “our” refer to PURA VIDA ECOM SOLUTIONS LLC, doing business as Stalder & Reid.
By visiting our website, creating an account, placing an order, or otherwise using our Services, you agree to these Terms and to the policies incorporated into them by reference. If you do not agree to these Terms, you should not use our website or Services.

2. Eligibility
You must be at least the age of legal majority in your state of residence, or otherwise have the legal capacity required under applicable law, to place an order or create a customer account.
If you permit a minor to use a device, account, or payment method under your control, you are responsible for that use and any resulting transactions to the extent permitted by applicable law.
You may not use our website or Services if you are prohibited from doing so under applicable law.
3. Customer Accounts
You may be able to create a customer account to review orders, save addresses, manage preferences, or access other account features.
You are responsible for providing accurate and current account information, protecting your login credentials, and restricting access to your account and devices.
You must promptly notify us at clientservices@stalderandreid.com if you believe that your account has been accessed or used without authorization.
We may suspend or terminate an account when we reasonably believe that it has been used for fraud, unlawful activity, unauthorized transactions, abuse of our policies, or conduct that threatens the security of our website, customers, or business.
4. Product Information
We make reasonable efforts to describe and display our watches, accessories, and other products accurately, including applicable materials, movement type, dimensions, case size, strap or bracelet specifications, colors, features, water-resistance information, and other product characteristics.
Actual product colors, finishes, textures, and appearance may vary slightly because of screen settings, lighting, photography, reflections, manufacturing tolerances, natural material variation, or differences between production batches.
Measurements, weights, dimensions, and other specifications may be approximate unless expressly stated otherwise.
Mechanical and automatic watches may experience normal variations in timekeeping consistent with the characteristics of their movement and applicable manufacturer specifications. Battery life, power reserve, accuracy, and similar performance information may be estimates unless expressly stated as guaranteed.
Water resistance applies only where a specific water-resistance rating is expressly stated for the applicable product. Water resistance should not be assumed where no rating is provided, and resistance may be affected over time by wear, impact, servicing, seals, crowns, buttons, temperature changes, and other conditions.
We will not materially substitute a product without your authorization. If an ordered product becomes unavailable, we may cancel the affected item and issue the applicable refund.
Product descriptions, photographs, specifications, prices, and availability may be corrected or updated before an order is accepted.
5. Product Availability and Purchase Limits
All products are subject to availability. Placing a product in your shopping cart does not reserve the product or guarantee that it will remain available.
We may establish reasonable purchase limits for particular products, customers, households, payment methods, shipping addresses, or orders.
We may refuse or cancel an order when reasonably necessary because of:
- Product unavailability;
- An incorrect price or material product information error;
- Suspected fraud or unauthorized payment activity;
- Violation of these Terms or another Stalder & Reid policy;
- Applicable legal or regulatory restrictions;
- Shipping restrictions or an undeliverable address; or
- Reasonable purchase quantity, resale, or fraud-prevention restrictions.
If we cancel an order after payment has been collected, we will refund the amount charged for the canceled portion of the order to the original payment method, subject to applicable law.
6. Order Submission and Acceptance
The display of products on our website is an invitation to place an order and does not, by itself, constitute acceptance of a purchase.
By submitting an order, you offer to purchase the selected products under these Terms and authorize us and our payment providers to process the amounts disclosed during checkout.
An automated order confirmation acknowledges that we received your order. It does not necessarily mean that the order has been accepted.
Unless we expressly state otherwise, an order is accepted when we send a shipping confirmation or otherwise confirm that the order has been approved for fulfillment.
We reserve the right to verify order information before acceptance, including billing information, shipping information, product availability, payment authorization, and potential fraud indicators.
7. Pricing, Currency, Taxes, and Payment
Unless otherwise stated, prices displayed on our United States store are stated in United States dollars (USD).
The product price, applicable sales tax, selected shipping charges, discounts, and total order amount will be displayed during checkout before you submit your order.
Applicable sales taxes are calculated based on the information available during checkout and applicable tax requirements.
Available payment methods are displayed during checkout and may change from time to time.
By providing payment information, you represent that:
- The payment information you provide is accurate and complete;
- You are authorized to use the selected payment method; and
- You authorize us and our payment providers to process the transaction and any authorized refund, reversal, or adjustment associated with the transaction.
If a material pricing error is discovered before an order is accepted, we may contact you to determine whether you wish to proceed at the correct price or cancel the affected item.
We will not charge a corrected higher price without your authorization. If an order is canceled because of a pricing error after payment has been collected, the applicable amount will be refunded.
8. Promotions and Discount Codes
Promotions, discount codes, free shipping offers, and other special offers may be subject to additional conditions disclosed with the applicable offer.
Unless otherwise stated:
- Discount codes have no cash value;
- Only one discount code may be used per order;
- Discounts cannot be applied retroactively to completed orders;
- Discounts may not apply to taxes, premium shipping services, gift cards, or specifically excluded products; and
- Promotions may not be reproduced, sold, transferred, or used fraudulently.
We may reject or cancel unauthorized, fraudulent, duplicative, abusive, or technically erroneous use of a promotion, subject to applicable law.
9. Shipping and Delivery
Orders are prepared and shipped in accordance with our Shipping Policy, which is incorporated into these Terms by reference.
Standard delivery within the United States is currently offered free of charge.
Applicable processing times and estimated delivery timeframes are displayed in our Shipping Policy, on relevant portions of our website, or during checkout.
Unless expressly identified as guaranteed, delivery dates and transit times are estimates. Carrier conditions, severe weather, customs or transportation disruptions, peak demand, address issues, supply interruptions, and circumstances beyond our reasonable control may affect delivery.
We must have a reasonable basis for any shipping timeframe communicated to you. If we cannot ship within the applicable promised or legally required timeframe, we will provide any notice, revised shipment information, opportunity to consent to a delay, cancellation option, and refund required by applicable law.
You are responsible for providing a complete and accurate shipping address. Please review your shipping information carefully before submitting an order.
10. Title and Risk of Loss
Unless applicable law requires otherwise, title to and risk of loss for a product pass to you when the product is delivered to the shipping address provided with the order.
A carrier's delivery record may be considered evidence of delivery, but it does not prevent us from reviewing credible reports of loss, misdelivery, theft, or shipping damage.
If a shipment is lost, damaged, or incorrectly delivered, contact clientservices@stalderandreid.com promptly so that we can review the matter and, where appropriate, work with the applicable carrier or fulfillment provider.
11. Returns, Refunds, and Exchanges
Eligible products may be returned within 60 calendar days after delivery, subject to our Returns & Refunds Policy.
Our Returns & Refunds Policy explains:
- Which products are eligible for return;
- The condition in which products must be returned;
- How to request return authorization;
- Responsibility for return shipping costs;
- The treatment of damaged, defective, materially misdescribed, or incorrect products;
- Non-returnable products;
- Refund amounts and processing procedures; and
- Our exchange procedures.
If these Terms and the Returns & Refunds Policy address the same return issue differently, the Returns & Refunds Policy will control for that issue, except where applicable law requires otherwise.
12. Order Cancellations and Changes
To request an order cancellation or change, contact clientservices@stalderandreid.com as soon as possible.
We will make reasonable efforts to accommodate your request, but we cannot guarantee that an order can be changed or canceled after processing or fulfillment has begun.
If an order has already shipped, it generally must be handled under our Returns & Refunds Policy after delivery.
Nothing in this section limits cancellation rights available under applicable law.
13. Watch Care and Intended Use
You are responsible for reviewing and following applicable product instructions, specifications, care information, warnings, and manufacturer guidance.
Normal wear may include light surface marks, strap or bracelet wear, changes in leather or other natural materials, cosmetic aging, or changes resulting from ordinary use. Normal wear and tear does not necessarily constitute a product defect.
Unless expressly stated otherwise on the applicable product page:
- Do not assume that a watch is suitable for swimming, showering, diving, or other water exposure;
- A water-resistance rating does not necessarily mean that all straps or other components are suitable for the same level of water exposure;
- Water resistance may decrease over time and may require periodic inspection or maintenance;
- Watches should be protected from severe impact, extreme temperatures, strong magnetic fields, chemicals, and other conditions that may affect operation or appearance; and
- Repairs, alterations, opening of the case, or servicing by unauthorized persons may affect applicable warranty coverage.
Product-specific instructions, manufacturer recommendations, and warranty terms control where they provide more specific guidance.
14. Written and Implied Warranties
A product may be covered by an express written warranty only where that warranty is specifically provided with the product, made available through our website, or clearly disclosed on the applicable product page or before purchase.
Any written warranty offered by Stalder & Reid or a manufacturer is subject to its separately disclosed terms, conditions, duration, limitations, and procedures.
Nothing in these Terms creates an additional written product warranty beyond a warranty expressly provided by Stalder & Reid or the applicable manufacturer.
Nothing in these Terms excludes, limits, or modifies any implied warranty, statutory warranty, product liability obligation, or consumer remedy that cannot lawfully be excluded, limited, or modified.
Where federal or state law requires a written warranty to be made available before purchase or imposes other requirements concerning warranty disclosures, we will provide the warranty in accordance with applicable law.
15. Website License and Intellectual Property
The website and its contents, including the Stalder & Reid name, logos, trademarks, product names, photographs, graphics, text, designs, videos, icons, page layouts, product descriptions, and other materials, are owned by or licensed to Stalder & Reid and are protected by applicable intellectual property laws.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the website for lawful personal shopping and informational purposes.
You may not, without prior written authorization:
- Copy, reproduce, republish, distribute, sell, license, or commercially exploit website content;
- Use our trademarks, branding, photographs, or product descriptions in a manner likely to cause confusion regarding source, sponsorship, affiliation, or endorsement;
- Modify, reverse engineer, decompile, or attempt to extract source code from website technology except where such restriction is prohibited by law;
- Frame, mirror, scrape, crawl, or systematically collect website content or data in violation of applicable law or our technical restrictions;
- Use website content to train or develop a commercial artificial intelligence system without our authorization, except where such restriction is prohibited by applicable law; or
- Remove copyright, trademark, or other proprietary notices.
16. Product Reviews and Other Customer Content
You may be able to submit reviews, photographs, videos, comments, feedback, questions, or other content through our website, communications, or social media channels.
You retain ownership of content you create. By voluntarily submitting content to us for publication or promotional use, you grant Stalder & Reid a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to use, reproduce, adapt, publish, translate, display, distribute, and promote that content in connection with our business, products, website, advertising, and social media, subject to applicable law and our Privacy Policy.
You represent that:
- You own the content or have the necessary permission to submit it;
- The content reflects your honest experience or opinion;
- The content is accurate to the best of your knowledge;
- The content does not infringe another person's rights; and
- You have disclosed any material relationship, payment, free product, discount, or other incentive connected with the content where disclosure is required.
You may not submit content that is unlawful, fraudulent, deceptive, defamatory, threatening, obscene, discriminatory, infringing, malicious, or unrelated to the relevant product or service.
We may moderate, decline, or remove content that violates these Terms or applicable law, but we are not required to monitor all customer content.
Nothing in these Terms restricts your right to provide an honest review, assessment, or opinion concerning our products, services, or conduct.
17. Prohibited Uses
You may not use the website or Services to:
- Violate federal, state, local, or other applicable law;
- Commit fraud or use an unauthorized payment method;
- Submit false, misleading, or materially incomplete information;
- Impersonate another person or misrepresent your identity or authority;
- Interfere with website operation, security, checkout, or customer accounts;
- Transmit malware, harmful code, automated attacks, or unauthorized communications;
- Collect personal information about other users without authorization;
- Circumvent purchase limits, security measures, access restrictions, or fraud controls;

Third-party services are governed by their own terms, policies, and practices. We do not control and are not responsible for the availability, content, security, accuracy, or independent conduct of third-party services.
A link or integration does not necessarily constitute an endorsement of the third party.
19. Shopify
Our online store is hosted and supported by Shopify. Shopify provides ecommerce technology that allows us to display and sell products, process checkout activity, manage customer accounts, and operate related store functions.
Purchases made from Stalder & Reid are transactions between you and PURA VIDA ECOM SOLUTIONS LLC, doing business as Stalder & Reid. Shopify is not the seller of our products merely because Shopify provides the ecommerce platform.
Your use of certain Shopify-powered features may also be subject to terms and privacy disclosures provided directly by Shopify.
20. Privacy
Our collection, use, disclosure, retention, and protection of personal information are described in our Privacy Policy.
By using the website or Services, you acknowledge that personal information will be processed as described in that policy and as otherwise permitted by applicable law.
21. Electronic Communications
When you use our website, place an order, create an account, or communicate with us electronically, you consent to receive transactional and service-related communications electronically, including order confirmations, payment information, shipping notices, return communications, security notices, policy notices, and customer service responses.
To the extent permitted by applicable law, you agree that electronic records, notices, disclosures, and communications may satisfy requirements that such communications be provided in writing.
Marketing communications are governed by your communication preferences and applicable law and may be discontinued through the unsubscribe method provided in the applicable message.
22. Website Availability and Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND DIGITAL SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
We do not guarantee that the website will always be uninterrupted, error-free, secure, or free from harmful components. Maintenance, technical problems, internet conditions, third-party services, security events, and circumstances beyond our reasonable control may temporarily affect availability.
This website disclaimer applies to the website and digital Services. It does not exclude or limit rights, warranties, product liability obligations, or remedies concerning purchased products that cannot lawfully be waived.
23. Limitation of Liability
To the maximum extent permitted by applicable law, Stalder & Reid, PURA VIDA ECOM SOLUTIONS LLC, and their respective owners, officers, employees, affiliates, agents, contractors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from the use of or inability to use the website or digital Services.
For a claim arising from a specific product or order, our aggregate liability will not exceed the amount paid for the affected product or order, except where a greater remedy is required by applicable law.
These limitations do not apply to liability that cannot lawfully be excluded or limited, including, where applicable, liability arising from:
- Fraud or intentional misconduct;
- Gross negligence where liability cannot lawfully be limited;
- Death or personal injury caused by legally actionable conduct;
- Legally actionable product defects;
- Breach of a non-waivable statutory duty; or
- Any other matter for which limitation or exclusion is prohibited by applicable law.
Some states do not permit certain exclusions or limitations of liability. In those states, these provisions apply only to the maximum extent permitted by applicable law.
24. Indemnification
To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless Stalder & Reid, PURA VIDA ECOM SOLUTIONS LLC, and their owners, officers, employees, affiliates, agents, and service providers from third-party claims, damages, losses, liabilities, and reasonable expenses arising from:
- Your unlawful or unauthorized use of the website;
- Your material violation of these Terms;
- Content you submit that unlawfully infringes another person's rights; or
- Your fraudulent, intentional, or malicious conduct.
This provision does not require you to indemnify Stalder & Reid or PURA VIDA ECOM SOLUTIONS LLC for their own negligence, product defects, statutory violations, or other liability that cannot lawfully be transferred to a consumer.
25. Force Majeure
To the extent permitted by applicable law, we will not be responsible for delay or failure caused by events beyond our reasonable control, including severe weather, wildfire, flood, natural disaster, labor disruption, transportation interruption, carrier failure, supply-chain disruption, utility outage, cyberattack, governmental action, civil disturbance, epidemic, pandemic, or comparable event.
This section does not excuse any obligation to provide a refund, cancellation option, notice, or other remedy where required by applicable law.
26. Suspension and Termination
We may suspend or terminate access to the website or a customer account when reasonably necessary to address fraud, security risks, unlawful conduct, material violations of these Terms, or threats to customers or our business.
Termination does not affect rights or obligations arising before termination, including payment obligations, accepted orders, intellectual property rights, limitations of liability, and dispute provisions to the extent those provisions are intended to survive.
27. Governing Law
These Terms and any dispute arising from them are governed by the laws of the State of New Mexico and applicable federal law, without regard to conflict-of-law principles, except to the extent another law must apply.
This choice of law does not deprive a consumer of any non-waivable protection or remedy provided by applicable federal law or the law of the consumer's state of residence.
28. Dispute Resolution and Venue
Before filing a legal action, you and Stalder & Reid agree to make a reasonable, good-faith effort to resolve the dispute informally, except where such a requirement would be prohibited by applicable law or immediate relief is reasonably necessary.
To begin informal resolution, send a written description of the dispute, the relevant order number if applicable, the requested resolution, and your contact information to:

If the dispute cannot be resolved informally, and except where applicable law requires or permits otherwise, any legal proceeding shall be brought in a state or federal court of competent jurisdiction located in or serving Bernalillo County, New Mexico.
This provision does not prevent either party from bringing an eligible claim in small claims court or seeking temporary, emergency, or injunctive relief where legally appropriate.
Nothing in this section limits a consumer's right to file a complaint with a governmental or regulatory authority or to exercise any right or remedy that cannot lawfully be waived.
29. Changes to These Terms
We may update these Terms to reflect changes in our Services, business practices, products, technology, or legal obligations.
The Terms in effect when an order is placed will ordinarily govern that transaction. Later changes will not retroactively alter a completed purchase unless required by law or expressly agreed by the parties.
Updated Terms will be posted on this page with a revised “Last updated” date. Material changes will receive any additional notice required by applicable law.
Your continued use of the website after the effective date of updated Terms constitutes acceptance of the revised Terms to the extent permitted by applicable law.
30. Severability
If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed if necessary.
The remaining provisions will remain in effect.
31. No Waiver
A failure or delay in exercising a right under these Terms does not waive that right.
A waiver is effective only when made in writing by an authorized representative and applies only to the specific circumstance identified.
32. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent, except where such restriction is prohibited by applicable law.
We may assign or transfer these Terms in connection with a merger, acquisition, corporate reorganization, financing, sale of assets, or transfer of our business, subject to applicable law.
33. Entire Agreement
These Terms, together with our Privacy Policy, Shipping Policy, Returns & Refunds Policy, and any additional terms expressly disclosed for a product, warranty, or promotion, constitute the agreement between you and Stalder & Reid concerning the website, Services, and applicable purchases.
If specific product, promotion, warranty, or service terms conflict with these general Terms, the more specific terms will control for that subject, except where applicable law requires otherwise.
